1. About Our Services
ScaleX MSME provides business and financial support services designed primarily for Micro, Small and Medium Enterprises (MSMEs).
Our services may include:

- Agri Infrastructure Fund (AIF) funding assistance

The exact scope of services provided to a client will depend on the engagement agreed between the client and ScaleX MSME.
2. No Guarantee of Funding or Approval
ScaleX MSME may assist clients in identifying, preparing for, structuring, and facilitating funding opportunities.
However, we do not guarantee the approval, sanction, disbursement, amount, interest rate, tenure, subsidy, grant, investment, or any other outcome of a funding application.
Final decisions are made by the relevant:
- Bank
- NBFC
- Financial institution
- Government authority
- Investor
- Fund
- Stock exchange
- Other applicable funding or regulatory institution
Approval may depend on factors including financial performance, credit history, collateral, banking relationships, eligibility, documentation, regulatory requirements, lender policies, and other factors beyond our control.
3. Client Eligibility & Information
Clients are responsible for providing complete, accurate, current, and authentic information.
Depending on the service, we may request:
- Financial statements
- Bank statements
- Income-tax and GST information
- Company registration documents
- Existing loan details
- Credit information
- Project reports
- Business plans
- Promoter/director information
- Statutory and regulatory documents
- Other documents reasonably required for evaluation
You agree not to knowingly provide false, misleading, incomplete, forged, or fraudulent information.
Any decision or recommendation made based on inaccurate information may be affected by such information.
4. Client Responsibilities
The client agrees to:
- Provide accurate and complete information.
- Provide requested documents within reasonable timelines.
- Cooperate with our team and relevant institutions.
- Respond to queries relating to funding or advisory requirements.
- Ensure that information and documents supplied are legally obtained and authorized for sharing.
- Disclose material changes in financial or business circumstances.
- Comply with applicable laws and regulations.
- Make payments for agreed professional services within the agreed timelines.
Delays or failure to provide required information may affect the delivery of services.
5. Professional & Advisory Services
Our strategic, financial, management, restructuring, and business recommendations are based on the information and circumstances available to us at the time of providing the advice.
Business decisions ultimately remain the responsibility of the client.
Our services should not be interpreted as a guarantee of:
- Business growth
- Profitability
- Funding approval
- Investment returns
- Debt reduction
- Revenue growth
- IPO listing
- Valuation increase
- Government subsidy approval
- Any particular commercial outcome
6. Government Schemes & Subsidies
ScaleX MSME may assist clients in understanding or accessing applicable government schemes, grants, subsidies, and financing programs.
Eligibility, benefits, documentation, approval, subsidy amount, timelines, and applicable conditions are determined by the relevant government authority or implementing institution.
We do not guarantee approval or receipt of any government benefit.
7. SME-IPO & Capital Market Advisory
Where applicable, ScaleX MSME may assist businesses in preparing for potential SME-IPO or capital-market opportunities.
Such services may include strategic planning, financial readiness, business structuring, documentation support, and coordination with relevant professionals.
An IPO or listing is not guaranteed. Any listing or capital-market transaction remains subject to applicable laws, regulatory requirements, eligibility criteria, due diligence, market conditions, professional advisors, and approval by the relevant authorities and institutions.
8. Fees & Payments
Fees for our services will be communicated to the client before or during engagement.
Depending on the engagement, fees may include:
- Consulting fees
- Professional fees
- Advisory fees
- Project fees
- Retainer fees
- Success-based or facilitation fees, where legally permissible and contractually agreed
- Applicable taxes and statutory charges
Unless otherwise agreed in writing, invoices are payable within the agreed payment period.
Third-party costs, government fees, professional charges, statutory fees, banking charges, legal fees, valuation fees, or other external expenses may be payable separately by the client where applicable.
9. No Unauthorized Representation
Clients must not represent themselves as employees, agents, partners, representatives, or authorized officials of ScaleX MSME unless expressly authorized in writing.
Similarly, no employee, consultant, representative, or third party is authorized to make commitments on behalf of ScaleX MSME beyond their stated authority.
10. Confidentiality
We recognize that clients may provide confidential financial, commercial, operational, and strategic information.
We will take reasonable measures to maintain confidentiality and use such information primarily for providing the agreed services, subject to:
- Client authorization
- Legal requirements
- Regulatory requirements
- Requirements of relevant financial institutions
- Professional and service-provider obligations
Information may be shared with relevant banks, NBFCs, investors, advisors, consultants, government authorities, or other institutions where reasonably necessary for delivering the requested service and/or where authorized by the client.
11. Third-Party Services
Our services may involve coordination with third parties such as:
- Banks
- NBFCs
- Investors
- Government agencies
- Chartered accountants
- Company secretaries
- Lawyers
- Merchant bankers
- Valuers
- Credit-rating agencies
- Technology providers
- Other professional or financial institutions
ScaleX MSME is not responsible for independent decisions, actions, delays, policies, fees, or services provided by such third parties.

- Payments remain overdue
- False or fraudulent information is identified
- The engagement becomes unlawful or impractical
- The client breaches these Terms
- Continued engagement creates legal, regulatory, or reputational concerns
Termination does not automatically eliminate payment obligations already incurred.
18. Force Majeure
We shall not be responsible for delays or failure to perform obligations caused by circumstances beyond our reasonable control, including:

- Government actions
- Regulatory changes
- Banking disruptions
- Technology failures
- Cyber incidents
- Strikes
- Civil disturbances
